Governance
Project governance runs through documented frameworks that don’t depend on any one individual. They apply across the portfolio today and are intended to stay in place through development and into COD.
Financial structuring is led by a CA(SA)-qualified finance function with over two decades of infrastructure finance and capital markets experience.
At project level, each asset is held in its own SPV. The SPV structure is the integration point for capital structuring, transformation structuring, and participation. Mwangaza’s Level 1 B-BBEE verification is at company level, and transformation is built into how projects are structured from the outset.
Community equity participation is embedded at SPV level through a formal Community Trust structure. Social and environmental governance is managed against DFI-aligned requirements, including IFC Performance Standards and the World Bank Group EHS Guidelines, and is intended to remain consistent as projects move from development through construction to operation.
